(하이데라바드, 인도 2019년 4월 11일 PRNewswire=연합뉴스) Tanla Solutions Ltd ("Tanla") (NSE: TANLA) (BSE: 532790)가 GSO Capital Partners L.P. ("GSO")와 관련된 펀드들이 소유하는 Banyan Investments Ltd ("Banyan")로부터 Karix Mobile Pvt Ltd ("Karix")와 Karix의 완전소유 자회사 Unicel Technologies Pvt Ltd ("Unicel")의 지분 100%를 인수하는 작업("인수")을 완료했다고 오늘 발표했다.

다음과 같이 구성된 인수의 예상 금액은 약 Rs.34억 루피다.

1. 현금 Rs.11억2천만 루피
2. 주당 INR 56.79 비율로 Tanla 주식 2,200만 주(액면가 Re.1루피)를 Banyan에 우선 배당. 이는 총 Rs.12억5천만 루피에 상당함
3. Tanla는 Karix 부채가 Rs.10억3천만 루피에 달할 것을 추정

Tanla는 대차대조표 상의 현금으로 이번 인수에 필요한 자금을 충당했다.

인수 후 Tanla 주식(완전 희석된 주식)은 Promoter가 31.2%, GSO가 14.6%가 될 전망이다.

이번 인수로 2019년 4월 10일부터 Karix는 Tanla의 완전소유 자회사가 된다(Unicel은 Karix의 자회사로 남는다).

Banyan에 대한 우선 배당으로 인해, Banyan는 Tanla 이사회에서 참관인 자격을 확보했다.

Tanla는 Alex Howell(GSO 상무이사)을 Tanla 이사회 참관인으로 임명했다고 발표했다. Alex는 London School of Economics를 졸업했으며, M&A, 차입&지분 자금조달 및 공적 신용 시장을 포함한 여러 영역에서 14년 동안 풍부한 자본 시장 경력이 있다. 그전에는 Lehman Brothers, Nomura 및 GSO(2012년부터)에서 일했다.

Tanla Solutions Ltd Announces Closure of Acquisition of Karix Mobile

(HYDERABAD, India, April 10, 2019 PRNewswire=연합뉴스) Tanla Solutions Ltd ("Tanla") (NSE: TANLA) (BSE: 532790) today completed the acquisition ("Acquisition") of 100% shareholding of Karix Mobile Pvt Ltd ("Karix") and its wholly owned subsidiary Unicel Technologies Pvt Ltd ("Unicel") from Banyan Investments Ltd ("Banyan"), a company owned by funds affiliated with GSO Capital Partners L.P. ("GSO").

Consideration for the Acquisition was approximately Rs.340 Crores, comprising:

1. Rs.112 Crores in cash;
2. Preferential Allotment to Banyan of 2.20 Crores Equity Shares in Tanla at a Face Value of Re.1 only, at a rate of INR 56.79 per share totaling Rs.125 Crores; and
3. Tanla assuming the debt on Karix's book of Rs.103 Crores.

This acquisition is being funded by Tanla with cash on balance sheet.

Post-acquisition, the shareholdings (on a fully diluted basis) of Tanla would be; Promoters: 31.2%, and GSO: 14.6%.

As a result of the Acquisition, Karix has become a wholly owned subsidiary of Tanla (and Unicel will remain a subsidiary of Karix), effective April 10th, 2019.

As a result of the Preferential Allotment to Banyan, Banyan will hold an observer seat on Tanla's Board of Directors.

Tanla announces the appointment of Mr. Alex Howell (Managing Director at GSO) as observer on Tanla's Board. Alex is an alumnus of London School of Economics and brings with him more than 14 years of rich experience in financial markets in a number of areas such as M&A, leveraged & equity financings and public credit markets, having previously worked at Lehman Brothers, Nomura, and (since 2012) GSO.
